Priyanka specialises in corporate and commercial law, assisting a diverse range of clients in regulatory, transactional and advisory matters. Her practice encompasses regulatory and corporate advisory, compliance, banking and finance, FinTech, mergers and acquisitions, and real estate transactions.
Since commencing her legal career in 2019 with the firm, Priyanka has developed particular experience in regulatory compliance, advising clients from various industries, including financial institutions, registered market operators (such as peer-to-peer financing platforms, digital asset exchanges and e-services operators), e-wallet providers, factoring companies, issuers of non-fungible tokens (NFTs), payment service providers and merchant acquirers as well as oil and gas companies and tourism industry players. Her work includes assisting in applications for licensing and registration with regulatory authorities such as Bank Negara Malaysia and the Securities Commission of Malaysia as well as advising on regulatory compliance under multiple legal frameworks, including under the Companies Act 2016, Consumer Protection Act 1999, Financial Services Act 2013, Moneylenders Act 1951, Tourism Industry Act 1992 and Money Services Business Act 2011.
Beyond regulatory matters, her experience includes assisting in acquisitions of local companies by conducting due diligence exercises on companies in various industries including cybersecurity testing, logistics, animal feed, cosmetics, tour and travel agencies, tourism accommodation premises, hotel development and Labuan investment banking.
Priyanka also periodically supports financial institutions in reviewing agreements against ever evolving regulatory requirements and has guided clients through digitalization of their processes, such as adoption of electronic and digital signatures and structuring online businesses in compliance with the modernizing Malaysian regulatory framework. Additionally, she assists clients with contract drafting and review, and has drafted commercial leases, tenancies, hire-purchase, collaboration agreements, share acquisition and shareholders’ agreements, tailored to her clients’ best interests.
Notably, Priyanka has worked on specific insurance-related matters, including advising a licensed insurer on regulatory requirements for proposed ancillary services, advising a statutory association on proposals to establish a self-indemnification fund, and advising an international insurer on pledges pursuant to a reinsurance arrangement based in Labuan.
Beyond her legal practice, Priyanka has an interest in policy development and law reform. She has often provided feedback to regulators on exposure draft policy documents and has been a member of the Bar Council’s Law Reform Committee since 2021.
