Raja Darryl & Loh (“RDL”) advises Bursa Malaysia RAM Capital Sdn Bhd (formerly known as BM RAM Capital Sdn Bhd) (“BR Capital”), a joint venture entity between Bursa Malaysia Berhad and RAM Holdings Berhad, on its application to the Securities Commission Malaysia (“SC”) for registration as a Recognized Market Operator under the SC’s Guidelines on Recognized Markets to manage and operate a new debt fundraising platform (“Platform”), which facilitates both primary and secondary trading.
RDL’s team led by Chong Mei Mei advised BR Capital on amongst others the application to the SC, the legal framework and relevant documentation for the Platform and also drafted the relevant documentation to operationalise the Platform including the agreements to govern its relationship with various stakeholders.
BR Capital has received the approval-in-principle from the SC on 2nd June 2023
The Platform will offer new/alternative avenue for companies and businesses (including currently underserved segment) to raise funds, while providing a “bond-like” experience allowing investors to invest in both conventional and Shariah investment notes with credit and ESG ratings. The inclusion of the ESG rating is not only novel in the current market but will help spearhead ESG initiatives in the country.
